Situate, lying and being in the Village of Port Chester, Town of Rye, County of Westchester and State of New York, being known and designated as Lot No. 35; on a certain map entitled, "Map of Property of John Brooks,situated in Port Chester, Westchester, New York," made by Ephraim Sours,C.E. and S. dated July 26, 1859 and filed on October 11, 1859 in the Westchester County Clerk's Office, Division of Land Records as Map No. 354.

ALL that certain plot, piece or parcel of land, situate, lying and being in the Village of Port Chester, Town of Rye, County of Westchester and State of New York, designated as Lot No. 34 on a Certain map entitled, "Map of Property of John Brooks, situated in Port Chester, Westchester County, New York"made by Ephraim Sours, C.E. July 26, 1859 and filed in the Westchester County Clerk's Office, Division of Land Records, formerly Register's Office, on October 11, 1859 as Map No. 354 being bounded and described as follows:

 

BEGINNING at a point on the easterly side of Highland Street where the same is intersected by the division line of lots 35 & 34 on said map;

 

THENCE easterly along said division line, on a line forming an interior angle of 90 with the last described course 114.00 feet to a point and lands now or formerly of N.Y.N.H. & H. Railroad Co.;

 

THENCE southerly along said lands, on a line forming an interior angle of 92 degrees 50’ 30”, with the last described course 50.41 feet to a point in the division line of lots 33 & 34 on said map;

 

THENCE westerly along said division line on the line having an interior angle of 87 degrees 09’ 30” with the last described course 116.50 feet to a point on the easterly side of Highland Street;

 

THENCE northerly along said easterly side of Highland Street 50.35 feet to the point or place of BEGINNING.

 

Bidding Process:Bidders are invited to submit sealed bids to the Town Clerk no later than Friday, November 22, 2019, 3:00 pm, at the offices of the Town located at 222 Grace Church Street, Port Chester, NY 10573, third (3rd)floor.

 

Bid packages with complete bidding instructions may be picked up from the Town Clerk on or after Thursday, November 7, 2019. Bid packages will also be available for download from the Town’s website: www.townofryeny.com.

 

1.   Bids must be on Bid Forms included in the Bid Package. There are separate forms for each Parcel and for the entire Property as a whole. Bidders are invited to bid on a single Parcel or both Parcels together. The Town reserves the right to award the bid: (a) for each Parcel separately to 2 individual bidders, (b) for both Parcels together to a single bidder, (c) for 1 Parcel only and reject all bids for the remaining Parcel, or (d) reject all bids. The fully executed bid and deposit must be received by the Town Clerk by 3:00 PM EST FRIDAY, NOVEMBER 22, 2019, time is of the essence in this sealed bid process.

2.   Bids shall be deemed as “offers to purchase” the Parcel or Property, as described herein, and shall remain open and in full force and effect until the Agreement of Sale is signed by the Town.

3.   All bids and all other information contained in the bidder’s submission shall be kept confidential by the Town.

4.   The Town reserves the right to accept or reject any and all bids.

5.   Upon decision by the Town as to acceptance of any bid, the Town shall inform the successful bidder(s) and proceed with sale of the Property to said party (parties). The Town shall also notify all non-successful bidders of the result of their bid.

6.   Upon acceptance of any bid, the Bidder shall have 2 days to execute the Agreement of Sale in duplicate and submit it to the Town together with a Bank Check in the amount of 10% of the award price payable pursuant to the terms of the Agreement of Sale, time is of the essence. The Town shall then execute one copy of the Agreement of Sale and return it to the successful Bidder(s). A sample copy of the Agreement of Sale will be contained in the Bid Package.

7.   The Agreement of Sale between the Town and successful Bidder(s) shall not have any contingencies for financing, and Bidder shall have made all such financial arrangements prior to submitting any bid.Failure of Bidder to obtain appropriate financing will result in the loss of the deposit for the Bidder. The ten percent (10%) deposit will be deposited with the Escrow Agent described in the Agreement of Sale upon Town’s acceptance of their bid. This deposit is non-refundable if the bid is accepted by the Town and the Bidder(s) fails or refuses to perform.

8.   Closing shall take place on or before December 31, 2019, time is of the essence as to the Bidder(s).

9.   The Town will convey title by Quitclaim Deed. The Deed shall be in the name of the successful Bidder, as the name appears on the Bid Form, unless the Town is otherwise instructed in writing no less that ten (10) days prior to closing.

10. The Property will be sold subject to any tenancies.

11. Closing costs shall be as follows:

a. Town shall pay for the preparation of the deed to the property.

b. Town shall pay for the transfer tax stamps or other documentary stamps to be affixed thereto.

c. Successful Bidder shall pay for closing fees and all other costs necessary for Successful Bidder to assure himself as to the sufficiency of the title.

d. Successful Bidder will be responsible for the cost of any title exam and/or title insurance premiums.

e. Successful Bidder shall pay for recording the deed.

f. Successful Bidder shall pay for the preparation and recording of any mortgage, or other document prepared, in order to secure any indebtedness on the subject real estate.

12. BUYERS PREMIUM. As is noted on the bid form, the Successful Bidder shall be responsible for a FIVE (5%) PERCENT Buyers’ Premium added to the bid.Bidders should therefore be aware of this Buyer’s Premium as they calculate their desired bid amount.

13. DISCLAIMER AND ABSENCE OF WARRANTIES: The Property is being sold on an “AS IS, WHERE IS” basis, and no warranty or representation, either express or implied, concerning the Property is made by the Town. Each potential bidder is responsible for conducting his or her own independent inspections investigations, inquires, and due diligence concerning the Property. The information herein is believed to be accurate but is subject to verification by all parties relying on it. No liability for its accuracy, errors, or omissions is assumed by the Town. Except for any express warranties set forth in the sale documents, Successful Bidder(s) assumes all risks thereof and acknowledges that the Town makes no warranty or representation, express or implied or arising by operation of law, including any warranty of merchant ability or fitness for a particular purpose of the Property,or any part thereof, and in no event shall Town be liable for any consequential damages. The Town reserves the right to preclude any person from bidding if there is any question as to the person’s credentials, fitness, etc.
